Contracts are the most common part of any business and the most common area for disputes and conflicts. Though attorneys and parties often attempt to meticulously draft what they intend and want in every contract, there are still unknown issues that may arise later. Sometimes, contract law involves determining what the parties intended or what is required under the terms,. In other instances, contracts involve a determintion of whether a contract existed at all. For example, if your daughter bought a new dress and paid to rent a limousine for the prom and her date backed out, is that a contract? If a man buys an engagement ring and his fiance agrees to marry him, is that a contract? If the agreement does not meet the legal requirements to be considered a valid contract, then it wil not be enforceable.
Contract law is a large and fascinating area of law that involves regulation of parties to an agreement and their obligations thereto. Sometimes agreements are in writing and other times contracts are oral or implied by the conduct of the parties. Websters dictionary defines contract law as "a body of law that governs, enforces and interprets agreements." Such agreements can involve sale of goods or services. They can involve purchase and sale of property. They can involve remodeling your home or adding a room addition or ADU. They involve promises between various parties to do or even to not do something. There is really no limit to where contracts can go as long as there are at least two parties making promises to the other.
As a business, you will need to enter into contracts. It may be a purchase order to buy merchandise but once that purchase order is accepted, i.e, acted upon, the contract is formed as all that is required is that there be an agreement to the original terms. Often parties enter into agreements between themselves without using a lawyer. It does not mean that the contract they each signed is not binding, but usually there are important terms missing. Sometims the terms conflict with other terms and certain actions are not made clear. For these reasons, it is always wise to, at the very least, have an atorney review what you intend to sign so that you are not bound to something you did not intend or so that there are not critical terms missing.
Since contracts are such an important part of any business, it is well worth the expense to have them professionally done becuse you can then use the same format over and over again, knowing that you are protected.
